These Terms of Use govern access to and use of Coffee Business Planning & Analytics or Coffee Farm Planning & Analytics ("the Platform").
The Platform provides coffee farm management, planning, financial analysis, production monitoring, agronomy tracking, inventory management, scenario planning, investment analysis, risk assessment, reporting and decision-support services.
By creating an account, logging in, accessing, browsing or using any part of the Platform, you agree to comply with these Terms of Use.
If you do not agree with these Terms, you must not access or use the Platform.
These Terms of Use should be read together with the following legal documents:
If there is a conflict between these Terms and a signed written agreement between you and the Platform owner, the signed written agreement shall prevail to the extent of the conflict.
We may update these Terms from time to time to reflect changes in the Platform, legal requirements, business practices or service features.
Where changes are material, we may require users to review and accept the updated Terms before continuing to use the Platform.
For purposes of these Terms, the following words have the meanings assigned below:
Account means a registered user account used to access the Platform.
Administrator means a user authorised to manage an organisation, users, permissions and related settings.
Customer Data means data, information, records, reports, documents, photographs or other content entered, uploaded or generated by users within the Platform.
Forecast means any estimate, projection, scenario, model or analytical output generated by the Platform.
Organisation means a farm, company, cooperative, farmer group, institution or other entity registered on the Platform.
Platform means the Coffee Business Planning & Analytics software, website, dashboards, reports, databases, tools, services and related documentation.
User means an individual who accesses or uses the Platform.
We, us or our means the owner, operator, developer or authorised provider of the Platform.
You means the individual user or organisation accessing or using the Platform.
You may use the Platform only if you are legally capable of entering into binding agreements and are authorised to use the Platform either personally or on behalf of an organisation.
Where you use the Platform on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
To access most Platform features, you must create or be assigned a user account.
You agree to provide accurate, complete and current information during registration and to update such information whenever necessary.
You are responsible for maintaining the confidentiality of your username, password and login credentials.
You must not share your login credentials with unauthorised persons.
You are responsible for all activities carried out under your account unless you can show that such activity occurred without your fault or negligence.
Users may be linked to one or more organisations. Access to each organisation is controlled by assigned roles and permissions.
You must not attempt to access data belonging to any organisation, farm or user unless you have been expressly authorised to do so.
You may use the Platform for lawful coffee farming, farm management, planning, budgeting, production monitoring, reporting, investment analysis and related business purposes.

You retain ownership of Customer Data that you enter, upload or generate through your authorised use of the Platform.
We do not claim ownership of your farm records, financial records, production data, uploaded documents or organisation-specific business information.
You grant us a limited right to host, process, store, transmit, analyse and display Customer Data solely for the purpose of operating, maintaining, securing and improving the Platform and providing services to you.
The quality of reports, forecasts and analytical outputs depends on the completeness, accuracy and timeliness of the data entered by users.
We are not responsible for inaccurate outputs caused by incorrect, incomplete, outdated or misleading Customer Data.
We may use aggregated or anonymised data to improve Platform performance, analytical models, benchmarking tools, forecasting methods and service quality.
Such data will not reasonably identify a specific user, farm or organisation.
We may maintain backups for operational resilience and disaster recovery. However, users are encouraged to export or retain copies of important reports and records needed for their own compliance, accounting or business purposes.
The Platform provides decision-support tools only. It does not replace professional judgement, agronomic advice, financial advice, legal advice, accounting advice, tax advice, investment advice or insurance advice.
Forecasts, projections, scenarios, investment returns, yield estimates, cost estimates, price estimates, break-even analysis and cash flow projections are estimates only.
Actual results may differ due to weather, pests, diseases, soil conditions, farm management practices, coffee prices, exchange rates, labour availability, theft, post-harvest losses, regulatory changes, market conditions and other factors outside the Platform's control.
You remain solely responsible for decisions made using Platform outputs, including farming, investment, financing, pricing, planting, rehabilitation, harvesting, processing and marketing decisions.
You should review all reports, forecasts and scenarios for reasonableness before relying on them.
You should seek professional advice where decisions involve significant financial, agronomic, legal, tax or investment consequences.
Access to the Platform may be offered under free, trial, paid, enterprise or custom subscription plans.
Available features, usage limits, number of users, number of farms, storage limits, reporting features and support levels may vary by subscription plan.
You agree to pay all applicable subscription fees, service fees, setup fees, support fees or other charges associated with your selected plan.
Fees may be exclusive of taxes, duties, levies or transaction charges unless expressly stated otherwise.
You are responsible for paying any applicable taxes arising from your use of the Platform.
If fees remain unpaid, we may suspend, restrict or terminate access to paid features after reasonable notice, unless otherwise required by law or contract.
Refunds, if any, are provided at our discretion or in accordance with a written subscription agreement, invoice terms or applicable law.
The Platform, including its software, source code, database structures, workflows, reports, dashboards, models, algorithms, designs, trademarks, documentation and methodologies, is owned by or licensed to us.
No ownership rights in the Platform are transferred to you.
You receive only a limited right to access and use the Platform in accordance with these Terms and any applicable licence agreement.
You must not copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble or create derivative works based on the Platform except where expressly permitted in writing.
If you provide suggestions, feature requests, ideas or feedback, we may use them to improve the Platform without obligation to compensate you, provided that we do not disclose confidential Customer Data.
Our collection, use, storage and protection of personal data is described in the Platform Privacy Policy.
By using the Platform, you agree that personal data may be processed in accordance with the Privacy Policy.
Organisation administrators are responsible for assigning roles, removing users who no longer require access and ensuring that only authorised persons can access organisation data.
We use reasonable administrative, technical and organisational measures to protect Platform data. However, no system can be guaranteed to be completely secure.
We aim to make the Platform available on a reliable basis, but we do not guarantee uninterrupted, error-free or continuous availability.
The Platform may be temporarily unavailable due to maintenance, updates, backups, security improvements, infrastructure issues or events beyond our control.
Support may be provided through email, phone, chat, documentation, training or other channels depending on your subscription plan or service arrangement.
We may modify, improve, replace, suspend or discontinue Platform features from time to time. Where changes materially affect paid services, we may provide reasonable notice where practicable.
The Platform may integrate with third-party services such as hosting providers, payment processors, email services, mapping tools, analytics tools or external market data sources.
Your use of third-party services may be subject to separate terms, conditions and privacy policies issued by those third parties.
We are not responsible for third-party services, websites, data feeds, outages, errors, security incidents or changes outside our control.
We may suspend access to the Platform if:
You may stop using the Platform at any time. Termination of a paid subscription may be subject to the terms of your subscription agreement or invoice.
We may terminate access if you materially breach these Terms, misuse the Platform, fail to pay required fees or engage in unlawful conduct.
Upon termination, your right to access and use the Platform will cease.
We may retain data for a reasonable period for legal, audit, backup, dispute resolution or compliance purposes, subject to the Privacy Policy and applicable law.
The Platform is provided on an "as is" and "as available" basis, except where expressly stated otherwise in a written agreement.
The Platform does not provide legal, tax, accounting, investment, insurance, agronomic or veterinary advice.
Reports and analytics are tools to support your own judgement and should not be treated as professional advice.
We are not responsible for losses arising from external factors such as climate events, pests, diseases, market volatility, price changes, exchange rate movements, labour shortages, theft, poor farm practices, regulatory changes or force majeure events.
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of production, loss of goodwill, loss of data or business interruption.
To the maximum extent permitted by law, our total liability arising out of or relating to the Platform shall not exceed the amount paid by you for the Platform during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability where such exclusion is not permitted by applicable law.
You agree to indemnify and hold us harmless from claims, losses, liabilities, damages, costs and expenses arising from:
Confidential information includes non-public business, technical, financial, operational, farm, customer, software and commercial information disclosed through use of the Platform.
Each party shall take reasonable steps to protect confidential information and shall not disclose it except where authorised, required for Platform operation or required by law.
Confidential information does not include information that is publicly available, independently developed, lawfully received from another source or disclosed with permission.
These Terms shall be governed by the laws of the Republic of Uganda, unless a written agreement states otherwise.
The parties shall first attempt to resolve disputes through good faith discussions.
Where a dispute cannot be resolved amicably, it may be submitted to the competent courts of Uganda, unless the parties agree to another dispute resolution process.
These Terms, together with applicable legal documents, policies and written agreements, constitute the entire agreement regarding use of the Platform.
If any provision is found invalid or unenforceable, the remaining provisions shall continue in effect.
Failure to enforce any provision shall not constitute a waiver of that provision.
You may not assign your rights or obligations under these Terms without written consent.
We may assign our rights and obligations in connection with a merger, restructuring, sale of business, transfer of assets or similar transaction.
We shall not be liable for delay or failure caused by events beyond reasonable control, including internet failures, power outages, cyberattacks, natural disasters, war, civil unrest, government action, strikes, epidemics or infrastructure failures.
