This Subscription and Billing Policy explains how subscription plans, billing, payments, renewals, upgrades, downgrades, cancellations, refunds and account suspension are handled for Coffee Business Planning & Analytics or Coffee Farm Planning & Analytics ("the Platform").
This Policy applies to users, organisations, farms, cooperatives, companies, institutions and other customers who access free, trial, paid, enterprise or custom subscription plans.
This Policy should be read together with the Terms of Use, End User Licence Agreement, Privacy Policy, Service Level Agreement, Acceptable Use Policy, Data Processing Agreement and any written subscription agreement or invoice terms.
The Platform may offer different subscription plans, including free, trial, standard, professional, enterprise or custom plans.
Each plan may have different limits, features, user allowances, storage capacity, support levels, reporting tools and forecasting capabilities.

The Platform owner may modify plan features, limits or pricing from time to time. Where changes materially affect paid subscriptions, reasonable notice may be provided where practicable.
The Platform may provide a free plan with limited features, usage limits or access restrictions.
Free plans may be changed, restricted, suspended or discontinued at any time, subject to applicable law.
The Platform may offer trial access for a limited period. Trial accounts are intended to allow users to evaluate the Platform before subscribing to a paid plan.
At the end of a trial period, access may be restricted, suspended or converted to a paid subscription depending on the selected arrangement.
Trial accounts may have limited functionality, limited support, limited storage or restricted access to certain modules.
Access to paid features requires an active subscription and payment of applicable fees.
Subscriptions may be offered monthly, quarterly, annually or for another agreed period.
A subscription begins on the date specified during registration, invoice issuance, payment confirmation or written agreement.
During an active subscription, users may access features included in their plan, subject to the Terms of Use, Acceptable Use Policy and other applicable documents.
Billing cycles may be monthly, quarterly, annually or as otherwise agreed in writing.
Invoices may be issued electronically or through another agreed method.
Invoices may include subscription fees, setup fees, onboarding fees, support fees, training fees, taxes, usage fees or other agreed charges.
Customers are responsible for reviewing invoices and notifying the Platform owner promptly of any suspected error.
Fees may be charged in Ugandan Shillings, United States Dollars or another stated currency depending on the subscription plan, location or agreement.
Customers agree to pay all applicable fees associated with their selected subscription plan or service arrangement.
Payments are due on the date stated on the invoice, subscription page, payment request or written agreement.
The Platform may accept one or more payment methods, including bank transfer, mobile money, card payment, online payment gateway or another approved method.
Access to paid features may be activated or renewed after payment confirmation, unless credit terms have been agreed in writing.
Late payments may result in reminders, restricted access, suspension or termination in accordance with this Policy.
Subscription fees may be exclusive of taxes, duties, levies, withholding tax, transaction charges, payment processing fees or bank charges unless expressly stated otherwise.
The customer is responsible for all applicable taxes, duties and charges arising from the subscription or use of the Platform.
Subscriptions may renew automatically or manually depending on the selected plan or written agreement.
Where practicable, renewal notices or payment reminders may be sent before subscription expiry.
If a subscription is not renewed, paid features may be restricted, suspended or terminated after the expiry date or applicable grace period.
If a payment fails, the customer remains responsible for paying the outstanding amount.
The Platform owner may provide a grace period before suspending access, but is not required to do so unless agreed in writing.
If fees remain unpaid, the Platform owner may suspend or restrict access to paid features, reports, exports, forecasting tools or organisation accounts.
Suspended access may be restored after payment of outstanding fees and any applicable reactivation charges.
Customers may request to upgrade to a higher subscription plan where available.
Upgrades may result in immediate access to additional features, increased limits or enhanced support, subject to payment of applicable fees.
Customers may request to downgrade to a lower subscription plan where available.
Downgrades may reduce available features, user limits, farm limits, storage limits, support levels or access to reports and forecasts.
If account usage exceeds the limits of the lower plan, the customer may be required to delete data, remove users, reduce farms or upgrade again before full functionality is restored.
Customers may cancel a subscription by giving notice through the Platform, email or another approved method.
Cancellation may stop future billing but does not automatically refund fees already paid unless a refund is required by law or expressly agreed.
After cancellation, access may continue until the end of the paid subscription period unless otherwise agreed.
Customers are encouraged to export required reports and records before cancelling or closing an account.
Subscription fees are generally non-refundable once access to paid services has been provided, unless otherwise required by law or agreed in writing.
The Platform owner may, at its discretion, issue a full or partial refund in exceptional circumstances.
No refund is owed where access is suspended or terminated because of misuse, breach of the Terms of Use, breach of the Acceptable Use Policy, fraud, unlawful activity or non-payment.
Approved refunds may be processed through the original payment method or another agreed method and may be subject to transaction charges.
Enterprise customers may have custom pricing, payment schedules, service commitments, support terms, onboarding services or data protection terms agreed in writing.
If there is a conflict between this Policy and a signed enterprise agreement, the signed enterprise agreement shall prevail to the extent of the conflict.
The Platform owner may change subscription prices, plan structures, usage limits or billing models from time to time.
Where practicable, existing paid customers may be given reasonable notice before material price changes take effect.
Continued use of the Platform after a price change becomes effective constitutes acceptance of the updated pricing.

Suspension or termination does not remove the customer's obligation to pay outstanding fees.
To the maximum extent permitted by law, the Platform owner shall not be liable for indirect, incidental, consequential, special, exemplary or punitive losses arising from billing issues, failed payments, suspension, cancellation, renewal failure or subscription changes.
Total liability remains subject to the limits stated in the Terms of Use, EULA or applicable written agreement.
The Platform owner may update this Subscription and Billing Policy from time to time to reflect changes in pricing, payment methods, subscription plans, business practices or legal requirements.
Where changes are material, customers may be notified through the Platform, email, invoice notes or other reasonable means.
Questions about subscriptions, billing, invoices, payments, cancellation or refunds may be submitted to the Platform owner or authorised billing contact.

By subscribing to, paying for, accessing or using paid features of the Platform, you acknowledge that you have read, understood and agreed to this Subscription and Billing Policy.
