Welcome to Coffee Farm Planning & Analytics ("the Platform").
This End User Licence Agreement ("Agreement" or "EULA") is a legally binding agreement between you ("User", "Customer", "Organisation", or "Licensee") and the owner and developer of Coffee Farm Planning & Analytics ("Company", "Licensor", "we", "our", or "us").
This Agreement governs your access to and use of the Coffee Farm Planning & Analytics software platform, websites, mobile interfaces, reports, dashboards, planning tools, forecasting engines, analytical models, documentation and all related services.
By creating an account, accessing the Platform, or using any part of the Platform, you confirm that you have read, understood and agree to be bound by this Agreement.
If you do not agree to these terms, you must not access or use the Platform.
Coffee Farm Planning & Analytics is a cloud-based Software-as-a-Service (SaaS) platform developed to support coffee farmers, commercial farms, cooperatives, farmer organisations, processors, exporters, investors, financial institutions, researchers and agricultural extension providers.
The Platform provides tools for:
The Platform is intended to improve planning, productivity, profitability and investment decision-making within the coffee value chain.
This Agreement applies to every individual or organisation that accesses or uses the Platform, including but not limited to:
This Agreement applies regardless of whether the Platform is accessed through a web browser, mobile device or any future interface provided by the Licensor.
For purposes of this Agreement, the following terms shall have the meanings assigned below.
Account means the registered user account used to access the Platform.
Administrator means an authorised user responsible for managing an organisation's users and permissions.
Analytics means reports, dashboards, indicators, forecasts, calculations, comparisons and analytical outputs generated by the Platform.
CAPEX means capital expenditure recorded or planned within the Platform.
Coffee Cohort means a defined group of coffee trees sharing common characteristics such as age, variety, planting date or management history.
Content means documents, photographs, reports, files, text and other information uploaded to the Platform.
Customer Data means all information entered or uploaded by users into the Platform.
Forecast means any projected financial, agronomic or production estimate generated by the Platform.
Intellectual Property includes copyrights, trademarks, patents, trade secrets, algorithms, software code, methodologies, databases, documentation and proprietary business processes.
Licence means the limited right granted under this Agreement to use the Platform.
Organisation means a registered coffee farm, company, cooperative, farmer organisation or other legal entity using the Platform.
Platform means the Coffee Farm Planning & Analytics software together with all associated services.
Scenario means any user-created financial, agronomic or investment model developed using the Platform.
User means any authorised individual accessing the Platform.
By creating an account, accepting this Agreement electronically, or accessing any part of the Platform, you acknowledge and agree that:
Subject to your compliance with this Agreement and payment of all applicable subscription fees, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Coffee Farm Planning & Analytics Platform solely for your internal agricultural, business, planning, management and reporting purposes.
This licence does not transfer ownership of the Platform or any intellectual property associated with it.
During the licence period, you may:

Your licence is valid only while:
Failure to meet these conditions may result in suspension or termination of your licence.
Where a user has been authorised to access multiple organisations, the licence permits access only to those organisations for which valid permissions have been granted.
Users shall not attempt to access farms, organisations or information for which they have not been authorised.
Each user is responsible for:
The Licensee remains responsible for activities performed under its user accounts.
The Licensor may periodically release:
Such updates automatically form part of the Platform and are governed by this Agreement unless expressly stated otherwise.
The Licensor is under no obligation to develop specific future features requested by users.
All rights not expressly granted under this Agreement are reserved by the Licensor.
No provision of this Agreement shall be interpreted as granting ownership or proprietary rights in the Platform or its underlying technologies.
Coffee Farm Planning & Analytics is proprietary software developed and owned by the Licensor.
The Platform is licensed, not sold.
Your subscription grants only a right to use the Platform in accordance with this Agreement.
No ownership rights are transferred to any user or organisation.
The Licensor retains all worldwide intellectual property rights in and to the Platform, including but not limited to:
These rights are protected under applicable copyright, trademark, trade secret and other intellectual property laws.
Without limiting the foregoing, the following are proprietary intellectual property of the Licensor:
Users may rely on the outputs of these methodologies for their own internal decision-making but acquire no ownership or reuse rights in the methodologies themselves.
The names, logos, product names, service names and branding associated with Coffee Farm Planning & Analytics are the property of the Licensor.
Nothing in this Agreement grants permission to use these trademarks except as reasonably necessary to identify the Platform during authorised use.
If users voluntarily provide suggestions, recommendations, feature requests or other feedback relating to the Platform, the Licensor may use such feedback without restriction or obligation, provided that doing so does not disclose confidential customer information.
Submission of feedback does not transfer ownership of the Platform or create any entitlement to compensation unless otherwise agreed in writing.
