END USER LICENCE AGREEMENT (EULA)

CHAPTER 1: INTRODUCTION

1.1 Purpose of this Agreement

Welcome to Coffee Farm Planning & Analytics ("the Platform").

This End User Licence Agreement ("Agreement" or "EULA") is a legally binding agreement between you ("User", "Customer", "Organisation", or "Licensee") and the owner and developer of Coffee Farm Planning & Analytics ("Company", "Licensor", "we", "our", or "us").

This Agreement governs your access to and use of the Coffee Farm Planning & Analytics software platform, websites, mobile interfaces, reports, dashboards, planning tools, forecasting engines, analytical models, documentation and all related services.

By creating an account, accessing the Platform, or using any part of the Platform, you confirm that you have read, understood and agree to be bound by this Agreement.

If you do not agree to these terms, you must not access or use the Platform.

1.2 About the Platform

Coffee Farm Planning & Analytics is a cloud-based Software-as-a-Service (SaaS) platform developed to support coffee farmers, commercial farms, cooperatives, farmer organisations, processors, exporters, investors, financial institutions, researchers and agricultural extension providers.

The Platform provides tools for:

  • Coffee farm management.
  • Farm planning.
  • Financial management.
  • Operating and capital expenditure planning.
  • Production monitoring.
  • Agronomy management.
  • Inventory management.
  • Labour and field operations management.
  • Coffee spacing analysis.
  • Investment analysis.
  • Scenario planning.
  • Risk assessment.
  • Performance measurement.
  • Executive reporting.
  • Knowledge management.
  • Decision support.

The Platform is intended to improve planning, productivity, profitability and investment decision-making within the coffee value chain.

1.3 Scope

This Agreement applies to every individual or organisation that accesses or uses the Platform, including but not limited to:

  • Farm owners.
  • Farm managers.
  • Cooperatives.
  • Farmer organisations.
  • Field officers.
  • Agronomists.
  • Consultants.
  • Financial institutions.
  • NGOs.
  • Government agencies.
  • Researchers.
  • Employees authorised to use organisational accounts.

This Agreement applies regardless of whether the Platform is accessed through a web browser, mobile device or any future interface provided by the Licensor.

CHAPTER 2: DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings assigned below.

Account means the registered user account used to access the Platform.

Administrator means an authorised user responsible for managing an organisation's users and permissions.

Analytics means reports, dashboards, indicators, forecasts, calculations, comparisons and analytical outputs generated by the Platform.

CAPEX means capital expenditure recorded or planned within the Platform.

Coffee Cohort means a defined group of coffee trees sharing common characteristics such as age, variety, planting date or management history.

Content means documents, photographs, reports, files, text and other information uploaded to the Platform.

Customer Data means all information entered or uploaded by users into the Platform.

Forecast means any projected financial, agronomic or production estimate generated by the Platform.

Intellectual Property includes copyrights, trademarks, patents, trade secrets, algorithms, software code, methodologies, databases, documentation and proprietary business processes.

Licence means the limited right granted under this Agreement to use the Platform.

Organisation means a registered coffee farm, company, cooperative, farmer organisation or other legal entity using the Platform.

Platform means the Coffee Farm Planning & Analytics software together with all associated services.

Scenario means any user-created financial, agronomic or investment model developed using the Platform.

User means any authorised individual accessing the Platform.

CHAPTER 3: ACCEPTANCE OF THIS AGREEMENT

By creating an account, accepting this Agreement electronically, or accessing any part of the Platform, you acknowledge and agree that:

  1. You have read and understood this Agreement.
  2. You are legally capable of entering into binding contracts.
  3. If you are accepting this Agreement on behalf of an organisation, cooperative, company or government institution, you confirm that you have authority to bind that organisation.
  4. Your continued use of the Platform constitutes ongoing acceptance of this Agreement and any future amendments published in accordance with its terms.
  5. If you do not agree with any provision of this Agreement, you must immediately discontinue use of the Platform.
  6. Electronic acceptance of this Agreement shall have the same legal effect as a handwritten signature to the fullest extent permitted under applicable law.

CHAPTER 4: GRANT OF LICENCE

4.1 Licence Grant

Subject to your compliance with this Agreement and payment of all applicable subscription fees, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Coffee Farm Planning & Analytics Platform solely for your internal agricultural, business, planning, management and reporting purposes.

This licence does not transfer ownership of the Platform or any intellectual property associated with it.

4.2 Permitted Use

During the licence period, you may:

  • Access the Platform using authorised user accounts.
  • Register and manage one or more coffee farms.
  • Record production, agronomic, financial and operational information.
  • Prepare budgets and investment plans.
  • Record historical operating and capital expenditures.
  • Perform coffee spacing analysis.
  • Develop production and financial scenarios.
  • Generate reports and dashboards.
  • Export reports generated by the Platform.
  • Invite authorised employees and users to access your organisation's data, subject to your subscription plan.
  • Use the Platform for lawful commercial or non-commercial coffee farming activities.

4.3 Licence Restrictions

Except where expressly permitted in writing by the Licensor, you shall not:

  • Copy the Platform or any substantial part of it.
  • Modify or create derivative works from the Platform.
  • Reverse engineer, decompile or disassemble the software.
  • Attempt to discover the source code or proprietary algorithms.
  • Sell, lease, rent, sublicense or distribute the Platform.
  • Make the Platform available as a competing hosted service.
  • Remove or alter copyright notices, trademarks or proprietary markings.
  • Use automated tools to scrape or harvest Platform content.
  • Attempt to bypass security controls or licence restrictions.
  • Introduce malicious software or code into the Platform.
  • Use the Platform for unlawful, fraudulent or deceptive purposes.

4.4 Subscription Licence

Your licence is valid only while:

  • Your subscription remains active.
  • Applicable fees have been paid.
  • Your account has not been suspended or terminated.
  • You comply with this Agreement and other applicable Platform policies.

Failure to meet these conditions may result in suspension or termination of your licence.

4.5 Multi-Organisation Access

Where a user has been authorised to access multiple organisations, the licence permits access only to those organisations for which valid permissions have been granted.

Users shall not attempt to access farms, organisations or information for which they have not been authorised.

4.6 User Responsibilities

Each user is responsible for:

  • Maintaining the confidentiality of login credentials.
  • Ensuring that information entered into the Platform is accurate to the best of their knowledge.
  • Using the Platform responsibly.
  • Complying with applicable laws and regulations.
  • Preventing unauthorised access to their account.

The Licensee remains responsible for activities performed under its user accounts.

4.7 Updates

The Licensor may periodically release:

  • Software updates.
  • Security updates.
  • Performance improvements.
  • New features.
  • Bug fixes.
  • Analytical improvements.
  • Additional reports.
  • New planning models.

Such updates automatically form part of the Platform and are governed by this Agreement unless expressly stated otherwise.

The Licensor is under no obligation to develop specific future features requested by users.

4.8 Reservation of Rights

All rights not expressly granted under this Agreement are reserved by the Licensor.

No provision of this Agreement shall be interpreted as granting ownership or proprietary rights in the Platform or its underlying technologies.

CHAPTER 5: OWNERSHIP AND INTELLECTUAL PROPERTY

5.1 Ownership

Coffee Farm Planning & Analytics is proprietary software developed and owned by the Licensor.

The Platform is licensed, not sold.

Your subscription grants only a right to use the Platform in accordance with this Agreement.

No ownership rights are transferred to any user or organisation.

5.2 Intellectual Property Rights

The Licensor retains all worldwide intellectual property rights in and to the Platform, including but not limited to:

  • Source code.
  • Object code.
  • Database structures.
  • Software architecture.
  • User interface designs.
  • Reports.
  • Dashboards.
  • Documentation.
  • Graphics.
  • Icons.
  • Logos.
  • Training materials.
  • Knowledge base content.
  • Forecasting engines.
  • Decision-support methodologies.
  • Coffee production models.
  • Coffee spacing analysis models.
  • Financial planning methodologies.
  • Investment appraisal methodologies.
  • Scenario planning models.
  • Business rules.
  • Algorithms.
  • Machine learning models, where applicable.
  • Workflow designs.
  • APIs.
  • Software updates and enhancements.

These rights are protected under applicable copyright, trademark, trade secret and other intellectual property laws.

5.3 Proprietary Methodologies

Without limiting the foregoing, the following are proprietary intellectual property of the Licensor:

  • Coffee production forecasting methodologies.
  • Seasonal planning methodologies.
  • Historical investment modelling.
  • OPEX and CAPEX planning frameworks.
  • Coffee spacing comparison methodologies.
  • Yield projection models.
  • Recovery forecasting following rehabilitation or production events.
  • Financial forecasting models.
  • Cash flow projection methodologies.
  • Break-even analysis models.
  • Net Present Value (NPV) calculations.
  • Return on Investment (ROI) methodologies.
  • Executive reporting frameworks.
  • Performance scoring methodologies.
  • Decision-support algorithms.

Users may rely on the outputs of these methodologies for their own internal decision-making but acquire no ownership or reuse rights in the methodologies themselves.

5.4 Trademarks

The names, logos, product names, service names and branding associated with Coffee Farm Planning & Analytics are the property of the Licensor.

Nothing in this Agreement grants permission to use these trademarks except as reasonably necessary to identify the Platform during authorised use.

5.5 Feedback

If users voluntarily provide suggestions, recommendations, feature requests or other feedback relating to the Platform, the Licensor may use such feedback without restriction or obligation, provided that doing so does not disclose confidential customer information.

Submission of feedback does not transfer ownership of the Platform or create any entitlement to compensation unless otherwise agreed in writing.
